UPDATES TO TERMS OF USE
Ford and its affiliates reserve the right to change these Terms of Use from time to time without notifying you. It is your responsibility to review the posted Terms of Use each time you use the Site. Any new Terms of Use will be effective as to new use as of the time that we post them, or such later date as may be specified in them or in other notice to you. You can reject any new, revised, or additional terms by discontinuing use of the Site. If you object to any such changes, your sole recourse shall be to cease using this Site and uninstalling any Site downloads or applications. Continued use of the Site following the effective date of any such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes. CALIFORNIA PRIVACY RIGHTS & DATA RETENTION
Subject to applicable law, including the California Consumer Privacy Act (CCPA) as amended, User Content containing Personal Information may be deleted upon your verified request. To make such a request, please contact [Privacy Web Form].
However, you acknowledge that Ford’s ability to delete certain User Content is limited by our legal and contractual obligations. Ford reserves the right to retain User Content, even after a deletion request, if such retention is necessary to:

  1. Complete the transaction for which the information was collected or perform a contract between Ford and the Dealership (including the Sales and Service Agreement);
  2. Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities;
  3. Comply with a legal obligation, including record retention requirements under federal or state law; or
  4. Exercise rights provided by law.

If we delete your User Content pursuant to a valid request, it will be removed from the active Site but may persist in our backup or archival systems for a limited period until those systems are overwritten in the normal course of business.

ELECTRONIC COMMUNICATIONS
Visiting or use of the Site, including using linked sites and other tools, uploading documents, or sending correspondence, electronic or otherwise to Ford, where applicable, constitutes electronic communications. You consent to receive electronic communications and you agree that your electronic signature, if applicable, is a legally binding equivalent to your handwritten signature/initials. You agree that whenever you execute an electronic signature, it has the same validity as your handwritten signature.

YOUR ACCOUNT
Only Ford and Dealer personnel with valid credentials are authorized to establish an account and use the Site, unless otherwise approved by Ford. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You acknowledge that Ford is not responsible for third-party access to your account that results from theft or misappropriation of your account. If you delegate the use of the Site to others on your behalf, you acknowledge that delegates submit and process information on your behalf and it is your responsibility to review all delegate actions, including prior to your final submissions.

Failure to review delegate access or submissions does not relieve you of your personal obligations under your Sales and Service Agreement.

Ford does not retain liability or responsibility for such use of the Site.

By submitting content to any part of the Site, you represent and warrant that:

  • You are the sole author and owner of any intellectual property protected content you submit;
  • You are solely responsible for any contributions, comments, or postings you submit, including any feedback or questions;
  • All content that you post is accurate;
  • You are at least eighteen (18) years old;
  • Your use of the content does not violate these Terms of Use and will not cause injury to any person or entity;
  • You have not been offered, have not accepted, and are not entitled to receive any compensation in any form and from any party in connection with submitted content; and
  • You will indemnify, defend, and hold harmless Ford, its officers, directors, employees, and agents from any third-party claim(s) and any damages, losses, or injuries resulting from the display of your content.

You further agree and warrant that you will not:

  • Submit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;
  • Submit any content that does not have a Ford business-related purpose or is devoid of any relationship to the sale or service of Ford or Lincoln vehicles;
  • Submit any content that relates to any personal information or personal dealings;
  • Submit any content regarding proprietary information with competitors, including prices for services, vehicles, or products, including discounts, mark-ups, pricing policies or formulas, credit terms, costs, salaries and wages, inventories, intellectual property, marketing strategies or plans, refusing to deal with a customer or supplier, agreeing to treat a customer or supplier in a certain way, or otherwise jointly responding or reacting to specific developments in the market;
  • Submit any content that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
  • Submit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
  • Submit any content that is false or misleading;
  • Use the Site for sales and marketing purposes;
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • Invade another’s privacy in any way, including posting another’s personal details without their prior permission;
  • Manipulate identifiers in order to disguise the origin of any content submitted;
  • Act in a manner that affects other users’ ability to engage in real-time exchanges; or
  • Intentionally or unintentionally violate any applicable local, state, provincial, national, or international law.

You acknowledge that Ford has the right in its sole discretion, to remove, refuse, move, edit, or delete any content submitted, regardless of whether such content violates these Terms of Use.

By submitting content to the Site you hereby grant Ford a royalty-free, perpetual, irrevocable, world-wide, transferrable, sublicensable license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the content in any media or medium, form, format, or forum whether now known or hereafter developed.

Ford shall not be subject to any obligations of confidentiality regarding content except as expressly agreed by Ford, pursuant to the Sales and Service Agreement, or as otherwise required by applicable law. Nothing contained in these Terms of Use shall be construed as limiting Ford’s rights, responsibilities, and obligations under the Privacy Notice.

FORD INTELLECTUAL PROPERTY
Whether directly or under license, Ford retains all right, title, and interest, including all intellectual property rights, in and to the information and content on the Site, including, without limitation, any text, graphics, logos, buttons, icons, images, and audio clips (“Ford Content”). In addition, these Terms of Use grant you no right, title, or interest in any intellectual property owned by, used by or licensed by Ford, including Ford’s registered and unregistered trademarks, service marks, logos, brand names, trade dress and trade names (“Trademarks”).

You have no rights in or to such Ford Content or Trademarks and you will not use any Ford Content or Trademarks, except as specifically permitted under these Terms of Use. You may not do or allow anyone else to do anything with the Ford Content or Trademarks which is not specifically permitted under these Terms of Use. While all concerns will be taken seriously, Ford’s investigation process is best facilitated when you provide as much information about your concern as possible.

TERMINATION
Ford may immediately suspend access to the Site and remove and discard any content you submitted to the Site for any reason, including but not limited to, if Ford believes you have violated or acted inconsistently with these Terms of Use. Termination of your access to the Site may be affected without prior notice. Ford will not be liable to you or any third party for termination of your access to the Site.

RELATIONSHIP
Your use of the Site does not create, and nothing contained in these Terms of Use will be deemed to establish, an employment, agency, joint venture, dealer, or partnership relationship between you or the Dealership and Ford. Use of the Site does not provide you with the authority to enter into any agreements for or on behalf of Ford. Moreover, use of the Site does not grant you the authority, either express or implied, to incur obligations or liability on behalf of Ford. By using the Site, you agree that no attempts to subject Ford to any such obligations or liability will be made.

WAIVER
Failure by Ford to enforce any of its rights under these Terms of Use shall not be construed as a waiver of those rights or any other rights in any way whatsoever.

CHOICE OF LAW AND DISPUTE RESOLUTION
These Terms of Use and all other aspects of your use of the Site shall be governed by and construed in accordance with the laws of the state of Michigan, without regard to its conflict of laws rules. You agree that you will notify Ford in writing of any claim or dispute concerning or relating to your use of the Site and give Ford a reasonable period of time to address it before bringing any legal action, either individually or as a class member against Ford. You agree to submit to the personal jurisdiction of the state court located in the City of Pontiac, County of Oakland, Michigan, USA or of the federal court located in the City of Detroit, and County of Wayne, Michigan, USA.

RETENTION POLICY
All FMCDealer Community communications and content may be retained for a period of 60 days, and in some instances up to one year, from the date of their creation. After this time period, such data will be permanently deleted and will no longer be accessible. By using this Site, you acknowledge and agree to this retention policy.

OTHER AGREEMENTS
These Terms of Use shall be subject to any other agreements you have entered into with Ford. If any such agreements conflict with the terms of these Terms of Use, the other agreements shall control.

ADDITIONAL TERMS
Certain sections or pages on the Site may contain separate terms and conditions of use, which are in addition to these Terms of Use. Should there be a conflict, the additional terms and conditions will govern for those sections or pages.

SEVERABILITY
If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of these Terms of Use shall remain in full force and effect.

MODIFICATION
Ford reserves the right to modify these Terms of Use at any time, with or without notice to you. Thus, you should check these Terms of Use periodically for changes. You agree that Ford will not be liable to you or any third party for any modifications to these Terms of Use. Your use of this Site after any changes are posted will be considered acceptance of such changes.

SECTION HEADINGS
The headings of Sections in these Terms of Use are provided for convenience only and will not affect its construction or interpretation.

EFFECT
These Terms of Use will be binding on, inure to the benefit of, and be enforceable against the parties to these Terms of Use and their respective successors and assignees.
